In today’s competitive and rapidly evolving business landscape, intellectual property (IP) is considered a “gold mine” for many enterprises, serving as a competitive advantage that differentiates your brand from competitors. Consequently, Vietnamese businesses are increasingly focusing on the transfer of intellectual property rights to maximize the value of their inventions, trademarks, and proprietary processes. However, even a minor error during negotiation or a deficiency in executing transactions for the transfer of intellectual property rights can lead to unnecessary legal disputes, seriously impacting both the transferor and the transferee. This can result in significant financial losses and damage to brand reputation.
To ensure maximum benefits and minimize risks, businesses and individuals need to thoroughly understand the relevant legal regulations before proceeding with the transfer of intellectual property rights. This not only strengthens legal protection but also unlocks opportunities for intellectual property assets to become truly effective competitive advantages in the modern market. Let Inter Justice Law Firm guide you through the latest 2024 conditions and key considerations when undertaking a transfer of intellectual property rights.

According to Clause 1, Article 47 and Clause 1, Article 141 of the Law on Intellectual Property (LIP) 2005 of Vietnam, the transfer of intellectual property rights is the act by which the owner of the right to use an intellectual property asset (the transferor) permits another organization or individual (the transferee) to exploit or use one or several rights concerning that intellectual property asset.
Forms of Transfer of Intellectual Property Rights
The transfer of intellectual property rights can be carried out in two main forms:
Assignment of Intellectual Property Rights: The owner transfers the entire intellectual property rights to another organization or individual through an assignment agreement. This agreement has the nature of a sale contract, and the buyer becomes the new owner.
Licensing of Intellectual Property Rights: This form, often referred to as a license agreement, allows the owner to grant permission to another organization or individual to use the intellectual property rights without relinquishing their ownership.
Conditions for the Transfer of Intellectual Property Rights
To ensure that the transfer of intellectual property rights occurs legally and effectively, the following conditions must be met:
About the subject of intellectual property rights
The transferor must be the lawful owner of the intellectual property rights. This is a fundamental requirement. Without valid ownership, the transfer is not legally enforceable.
Scope and Duration of Protection
The IP being transferred must be within its valid protection period and within the legal scope of protection. Transfers outside this scope or timeframe are not recognized under the law.
No Infringement on Legal Interests
The intellectual property transfer must not adversely affect public interests, state interests, or the legitimate rights of third parties. It must also comply with other relevant legal provisions (according to Clauses 1 and 2, Article 7 of the Law on Intellectual Property 2005 of Vietnam, amended by Clause 2, Article 1 of the Amended Law on Intellectual Property 2022 of Vietnam).
Compliance with Restrictions on the Transfer of Intellectual Property Rights
Depending on the specific intellectual property object, there are certain restrictions on the transfer of intellectual property rights.

Restrictions on Industrial Property Rights
The owner can only assign rights within the scope of protection.
Geographical indications cannot be assigned in any form.
Trade names can only be assigned together with the transfer of the entire related business establishment.
Trademarks can only be assigned if this does not cause confusion about the origin or characteristics of the goods or services.
Rights related to inventions, industrial designs, and layout-designs originating from state-funded projects can only be assigned to legal entities in Vietnam.
Restrictions on Licensing
The right to use geographical indications and trade names cannot be licensed.
Collective marks can only be licensed to organizations or individuals who are members of the collective mark owner.
The licensee is not permitted to enter into sub-licensing agreements with third parties unless with the consent of the licensor.
The trademark licensee must ensure that the product or packaging clearly indicates that the product is manufactured under a license agreement.
When receiving an exclusive patent license, the licensee has the obligation to use the invention in accordance with legal regulations.
Full compliance with these conditions helps ensure the legality and effectiveness of the transfer of intellectual property rights, while protecting the interests of the parties to the transaction.
Intellectual Property Transfer Registration Process
To legally and effectively transfer intellectual property rights, you need to follow these steps:
- Identify the Transferor: Ensure the transferor is the legitimate holder of the intellectual property rights.
- Determine the Scope of the Transfer: Draft a transfer agreement, clearly stating the terms, conditions, and rights of both parties.
- Register the Transfer Agreement: If the transfer involves industrial property rights, register the agreement with the National Office of Intellectual Property of Vietnam (NOIP) for the agreement to be effective against third parties.
The process of transferring intellectual property rights can be complex, from identifying the transferor to drafting stringent contract terms. To optimize value and minimize risks, businesses should consult with law firms possessing robust legal expertise and in-depth specialization. This support not only helps avoid legal pitfalls but also protects the rights of both parties, creating a solid foundation for sustainable future development.
